Terms and Conditions for Purchase​

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “Customer”, “You” and “Your” refers to you, the person accessing this website and accepting Bojesen and Petersen Biotech’s (herein after BPbio) terms and conditions. “BPbio”, “Ourselves”, “We” and “Us”, refers to our Bojesen and Petersen Biotech. “Party”, “Parties”, or “Us”, refers to both the Customer and ourselves, or either the Customer or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Customer in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Customer’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing Danish Law. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.​

Privacy Statement

We are committed to protecting your privacy. Authorized employees within the company are on a need to know basis only use regarding any information collected from individual customers.​

Confidentiality

We are registered under the Data Protection Act (Persondataloven) and as such, any information concerning the Customer and their respective Customer Records may be passed to third parties. However, Customer records are regarded as confidential and therefore will not be divulged to any third party, except if BPbio is legally required to do so, i.e. to the appropriate authorities. Customers have the right to request sight of, and copies of any and all Customer Records we keep, on the proviso that we are given reasonable notice of such a request and costs are reimbursed.

We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by BPbio will only be in connection with the provision of agreed services and products.

Customers are requested to retain copies of any literature issued in relation to the provision of our services/products and in possession of BPbio (costs shall be reimbursed by Customer). Where appropriate, we shall issue Customer with appropriate written information, handouts or copies of records as part of an agreed contract, for the benefit of both parties.​

Disclaimer & limited liability

Regarding the sale of BPbio’s products, including but not limited to bActivate, BPbio can as a prerequisite potentially only take responsibility if the following conditions are met:

  • bActivate is to be used only by veterinarians with documented education and authorization to practice,
  • Instructions following bActivate shall be followed to the outmost extend and details,
  • bActivate is to be used only in healthy mares only demonstrating good general health and are alert and responsive at the time of uterine instillation.
  • The mare should have had at least 4 estrus periods after the last foaling, in this period demonstrating signs of heat at regular expected intervals.
  • The uterus must be fully involuted, without any adhesions to abdominal structures and freely moveable within the abdominal cavity and without any intrauterine adhesions. If lesions are present within the myometrium or endometrium, increasing the risk of leakage from the uterus into the abdomen, bActivate should not be instilled into the uterus.
  • If a mare with an active uterine infection is live covered by a stallion, there is a risk of transmitting pathogens from the mare to the stallion. To avoid the potential risk of transmitting pathogens to the stallion, we recommend the use of a prebreeding culture of all mares. As bActivate can induce active growth of an inactive uterine infection, a prebreeding culture should be conducted in all mares, which have had a uterine instillation with bActivate. BP Biotech cannot be held responsible for any costs related to stallions potentially infected during live cover of mares that have been instilled with bActivate.​

BPbio cannot be held responsible for any negative side effects following uterine instillation of bActivate in mares which, 1) do not meet the criteria described above, 2) at any time during their life, have had a dystocia (birth complications), 3) delivered a foal, which was determined large for the specific breed, 4) had a posterior delivery, 5) had a retained placenta, or 6) developed a fever or inappetance within the initial 15 days of foaling.

BPbio gives no guarantee for a successful impregnation of the mare.

BPbio are excluded all liability for damages, direct or indirect, arising out of or in connection with your non-conform use of our products and/or services, included but not limited to bActivate and this website as well a literature.

BPbio warrants that BPbio in general and in case of a liable act or liable damages arising out of the products and/or services of BPbio, has a limited liability for indirect or consequential damages leading to a loss, including but not limited to loss of business or profits (whether or not the loss of such profits was foreseeable, arose in the normal course of things or you have advised BPbio of the possibility of such potential loss), damage caused to the mare.

Furthermore, BPbio warrants that BPbio in general and in case of a liable act or liable damages arising out of the products and/or services of BPbio only covers damages at a value up to €10.000.

Delays and return policy

In the order confirmation from BPbio a delivery date is stated. If a delivery is delayed, BPbio is obligated to inform the Customer at once that it is clear that a timely delivery cannot be carried through.

The Customer shall accept a delay of 14 calendar days. The Customer can choose to cancel the order if any delay is longer than 14 calendar days. If the order is cancelled, the Customer shall have payment refunded. The Customer shall not be entitled to damages if a delivery is delayed for any period of time.
A product cannot due to the nature be returned to BPbio once it has been shipped and no refunds will therefore be made.

The Buyer is obligated to immediately examine the products upon delivery. If the products do not conform to what has been agreed upon in the order confirmation, the Buyer must immediately and without undue delay give notice of this to the Seller. The notice must be in writing and must be given within 5 days from the reception of the products. If the Buyer does not give notice to the Seller within the above-mentioned 5 days, the Buyer forfeits the right to complain about any defects or any incorrect delivery.​

Payment

All major Credit/Debit Cards are acceptable methods of payment. Our Terms are payment in full at ordering. All orders and/or transactions and agreements entered into will cease with immediate effect until such time as any and all outstanding monies are recovered in full.​

Cancellation Policy​

Notification for instance, in person, via email, mobile phone ‘text message’ and/or fax, or any other means will be accepted subject to confirmation in writing. Acceptance is depending on order processing has begun. We reserve the right to levy a €30 charge to cover any subsequent administrative expenses.​

Force Majeure​

Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or manmade eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any Agreement contained herein.​

General

The laws of Denmark govern these terms and conditions. By accessing this website [and using our services/buying our products] you consent to these terms and conditions and to the exclusive jurisdiction of the Danish courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. ​

Failure of the BPbio to enforce any of the provisions set out in these Terms and Conditions and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision. These Terms and Conditions shall not be amended, modified, varied or supplemented except in writing and signed by duly authorised representatives of BPbio.​
